一、 簡介 Introduction：

1、印度公司股權轉讓，股權轉讓是指自愿將一個股東（在公司股權中所代表的權利）的義務從一個股東轉讓給一個股東或非股東。 因此，在公司條款沒有任何明確限制的情況下，公司的股權可以像任何其他動產一樣轉讓。

Equity transfer refers to the voluntary transfer of the obligations of a shareholder (the rights represented in the company's equity) from a shareholder to a shareholder or non-shareholder. Thus, in the absence of any explicit limitation on the terms of the company, the shares of the company may be transferred like any other movable property.

2、一般情況，公司的股份可以自由轉讓，盡管某些限制是在公司章程中有所規定。此類限制規定是為了保護股東的利益。印度“公司法” 2013 年印度公司法第 56 條規定，股權轉讓文件需 要與股權轉讓表 SH4 號文件一起提交。

In general, shares of the company are freely transferable, although certain restrictions are stipulated in the articles of association. Such restrictions are intended to protect the interests of shareholders. Article 56 of the company law of India, 2013 stipulates that only relevant equity transfer documents (equity transfer form) shall be submitted in accordance with the form no. SH4.

3、SH-4 表格需要在執行股權轉讓協議之日起六十天內由轉讓人或股權的受讓人以及與其他相關的股權轉讓證書發送給公司。如果沒有此類股權轉讓證書，股權轉讓申請必須連同股份分配函一并送達。

The sh-4 form shall be sent to the company by the transferor or the transferee of the equity and other relevant certificates of equity transfer within 60 days from the date of execution of the equity transfer agreement. In the absence of such certificate of transfer, the application for transfer of shares must be accompanied by a letter of allotment.

二、 基本步驟 Brief Procedure：

1、由于“公司法” 2013 年版規定私人有限公司對股權轉讓有限制，因此首先，想要轉讓其股權的股東應向公司提出愿意轉讓其股權的請求。

Since the 2013 version of "company law" stipulates that private limited companies have restrictions on equity transfer, first of all, shareholders who want to transfer their equity should request the company to transfer their equity.

2、在收到轉讓股權的意向通知后，該議程將在董事會會議上進行通過，并將發送有關購買股權

的通知給所有其他現有股東。upon receipt of the notice of intention to transfer the shares, the agenda will be approved at a board meeting and a notice of purchase of the shares will be sent to all other existing shareholders.

3、如果沒有其他現有股東愿意購買股權，公司則應將信函發送給想要出售其股權的股東，表示該股東現在可以將股權轉讓給成其他非股東。

If no other existing shareholders are willing to purchase the equity, the company shall send a letter to the shareholder who wishes to sell the equity, indicating that the shareholder may now transfer the equity to other non-shareholders.

4、然后轉讓其股權的股東可以向公司提交正式執行的股權轉讓契約

 Shareholders who transfer their equity can then submit a duly executed equity transfer contract to the company.

5、收到股權轉讓契據后，需要通過董事會決議并登記同意轉讓股權。

Upon receipt of the equity transfer deed, the board of directors shall pass the resolution and register the consent to the equity transfer.

三、 所需材料 Required Documents：

1、轉讓人對公司發出股權轉讓通知

The transferor issues a notice of equity transfer to the company；

2、董事會決議，以考慮轉讓人對公司的股權轉讓通知

The board of directors decides to consider the transferor's notice of equity transfer to the company；

3、公司向現有股東發出邀約函

The company sends invitation letters to existing shareholders；

4、現有股東的異議信 Objection letter from existing shareholders；

5、SH-4 表格的股權轉讓契據以及已繳納的印花稅

Sh-4 equity transfer deed and stamp duty paid；

6、股權評估證書 Equity appraisal certificate；

7、董事會決議登記股權轉讓 The board of directors decides to register the equity transfer；
