二、公司注銷的方式

Different Channel to Winding Up Company：

1） 由法庭發起公司注銷Winding up of a Company by Tribunal：

根據《2013年公司法》，在以下情況下，法庭可以發起注銷一家公司Under the companies act 2013, a court may initiate the deregistration of a company if:

A：該公司無力償還其債務The company is unable to pay its debts.

B：該公司已通過特別決議，決定由法庭注銷該公司The company has by special resolution resolved that the company be wound up by the Tribunal.

C：該公司的行為損害了印度的主權完整、國家安全、同外國的友好關系、公共秩序以及禮儀道德The company has acted against the interest of the sovereignty and integrity of India, the security of the State, friendly relations with foreign states, public order, decency or morality.

D：法庭已下令根據第十九章注銷該公司The Tribunal has ordered the winding up of the company under Chapter XIX.

E：該公司此前連續五個財政年度未申報財務報表或者年度利潤表。If the company has not filed financial statements or annual returns for the preceding five consecutive financial years.

F：法庭認為注銷該公司是公正和公平的If the Tribunal is of the opinion that it is justand equitable that be company should be wound up.

G：該公司以欺詐的方式處理公司事務或公司的成立是出于欺詐和非法目的或參與公司成立或事務管理的人員存在與之相關的欺詐、瀆職或不當行為，且該公司理應注銷If the affairs of the company have been conducted in a fraudulent manner or the company was formed for fraudulent and unlawful purposes or the persons concerned in the formation or management of its affairs have been guilty of fraud, misfeasance or misconduct in connection therewith and it is proper that the company be wound up.

2） 自行發起公司注銷Voluntary Winding up of a Company：

在以下情況下，公司成員也可以自行發起注銷一家公司The winding up of a company.   can also be done voluntarily by the members of the Company, if:

A：該公司通過了注銷公司的特別決議If the company passes a special resolution for. winding up of the Company.

B：該公司在股東大會上通過決議，要求公司在公司章程規定的期限屆滿后自動注銷（如有），或公司章程規定的導致注銷公司的事項發生The company in general meeting passes a resolution requiring the company to be wound up voluntarily as a result of the expiry of the period of its duration, if any, fixed by its articles of association or on the occurrence of any event in respect of which the articles of association provide that the company should be dissolved.
