二、合規標準 Eligibility Criteria:

只有在印度以外成立的法人團體才能在印度開設代表處。代表處的設立需要先獲得印度財政部、外交部和內政部審批，印度儲備銀行在收到這三個部門對企業的通行證（No Objection Certificate）后才能認證許可辦事處的注冊流程，代表處有效期3年。如果代表處在印度盈利，將會違反規定并對其征收重稅，代表處的所有支出必須由境外母公司通過國際匯款承擔。Only corporate bodies established outside India can open representative offices in India. The establishment of representative office needs to get India for examination and approval of the ministry of finance, the ministry of foreign affairs and the ministry of the interior, the Reserve bank of India after receiving the three departments No Objection Certificate to start Liaison office registration processes, Liaison office is valid for 3 years. If the Liaison office makes profits in India, it will violate the regulations and impose heavy taxes on it. All expenses of the Liaison office must be borne by the overseas parent company through international remittance.

一般標準 General standards:

儲備銀行將考慮受理兩種途徑的申請The reserve bank will consider accepting applications in two ways:

1、儲備銀行路線 - 外國實體的主營業務屬于自動化路線下（外資可投資的行業）100％外商直接投資（FDI）的部門。通常RBI需要2-3個月才能處理表單，然后發出唯一的標識號（UIN）reserve bank route - the foreign entity's main business is in the 100% foreign direct investment (FDI) sector under the automated route (foreign investable sector). Typically, the RBI takes 2-3 months to process the form and issue a unique identification number (UIN).

2、政府路線 - 外國實體的主營業務屬于自動化路線下（外資可投資的行業）不允許100％外商直接投資的行業。儲備銀行與印度政府財政部協商，考慮了屬于這一類別的實體和非政府組織/非營利組織/政府機構/部門的申請。在外國政府機構和非政府組織的情況下，通常還會到內政部進行安全檢查。整個過程至少需要8-12個月，因為這個部門有嚴格的檢查。Government route - the main business of the foreign entity belongs to the automatic route (the industry in which foreign investment can be made), which does not allow 100% foreign direct investment. In consultation with the Ministry of Finance of the government of India, the reserve bank considered applications from entities and NGOS/NPOS/government agencies/departments in this category. In the case of foreign government agencies and NGOS, security checks are also usually carried out at the ministry of the interior. The whole process will take at least 8-12 months because the department has strict inspection.

三、印度代表處可開展的業務 Type of Business：

四、印度代表處注冊要求 Requirement:

1、需要一名董事，需有 PAN 和印度地址(中國人和印度人都可以) A resident director, he/she who needs provide PAN card and Indian address proof;

2、無注冊資本要求 No registered capital requirements;

3、 母公司連續三年盈利(需提供英文版審計報告并做公證雙認證) English version of balance sheet and profit & loss account for last 3 years (need provide English Translation Version of Audited B/S and P/L for latest preceding Last 3 Years and be attested by Indian embassy in China);

4、母公司凈值 5，0000 美金(需提供銀行文件證明) Parent company should have consistent profitability and have net worth of USD 50,000（need provide Certificate of Net Worth）;

五、印度代表處注冊所需材料Required Documents：

1、董事的個人信息、 PAN card掃描件和印度地址證明  The personal information, scanned copy of passport, PAN card and address proof of the resident director;

2、注冊申請簽字文件 Application documents(need be signed and attested by Indian embassy in China);

3、母公司銀行提供的資金證明英文版 Certificate of Net Worth(By Certified Public Accountant of Country of Applicant Company);

4、母公司營業執照、公司章程英文版和其他信息資料 English version of certificate of incorporation and charter of the parent company and other information, such as Directors List of Parent Company, address, email and so on;.

5、印度代表處的地址 Address of Liaison office:

1)租房證明-租房協議 lease agreement;

2)地址證明（近期電費單/水費單/天然氣賬單/移動電話費賬單）address proof(the latest electric bill/water bill/gas bill/mobile phone bill);

3)房屋產權所有者對任一董事出具的不反對證明 NOC;

六、服務內容 Service Content：

1、與印度財政部，內政部，外交部報備，獲得 Non Objection Certificate From concerned department;

2、按照客戶具體情況申請自動通路及政府審批下路徑下的印度儲備銀行的關于注冊聯絡處的許可。Get permit from RBI;

3、起草相關文件 Drafting Document;

4、提交代表處執照申請 Representative Office License;

5、董事認證代碼/DIN，DSC;

七、印度代表處注冊完成所獲證照 Handover Documents：

1、代表處執照 Representative Office License

2、董事認證代碼 DIN

3、董事電子簽名 DSC
