Project Office Registration Service Plan

一、項目辦公室簡介和優勢Introduction & Features:

項目辦公室(PO)指代表在印度執行項目的外國公司利益的營業地點，當外國公司獲得印度當地政府或印度企業的項目或訂單時可以在印度設立一個項目辦公室。從一家印度公司獲得一份項目合同來執行一個項目,需要從印度儲備銀行(RBI)獲得相關許可，隨后可與公司事務部門戶網站登記注冊該項目辦公室。Project Office (PO) means a place of business to represent the interests of the foreign company executing a project in India but excludes a Liaison Office. A Foreign Company / Corporation can establish a Project Office in India provided they have secured a contract from an Indian company to execute a project in India and thereby obtaining permission from the Reserve Bank of India (RBI) through AD category 1 Banker and subsequently registering it with the office of Registrar of Companies (ROC).  

在印度設立項目辦公室需要兩個步驟Two Step procedure for establish a PO in India：

a.通過AD Bank獲得RBI批準; Getting the RBI Approval through AD Bank;

b.在公司事務門戶網站注冊成立項目辦公室; Establishment / Registration of PO with the office of ROC on Ministry of Corporate Affairs Portal;

二、合格標準Eligibility Criteria:

1）需要一名董事，需有 PAN 和印度地址(中國人和印度人都可以) A director is required with PAN and Indian address (both Chinese and Indian are allowed)；

2)母公司連續三年盈利(需提供審計報告并做公證雙認證) The parent company has made profits for three consecutive years (audit report shall be provided and notarized and apostille)；

3)母公司凈值 5，0000 美金(需提供銀行文件證明) Net value of the parent company is USD 5,0000 (bank documents are required)；

注：若提供的董事是中國人，需每年在印度居住182天以上，并有PAN 卡 Note: if the directors are Chinese, they need to live in India for more than 182 days in last  natural year and have PAN Card.

三、印度項目辦注冊所需材料Required Documents：

1）董事的個人信息、 PAN Card掃描件和印度地址證明Personal information of the director, scanning copy of PAN Card and Indian address proof；

2）注冊申請簽字文件（需公證雙認證）Signed documents for registration application (notarized and Apostille)；

3）母公司銀行提供的資金證明英文版及銀行相關信息（需公證雙認證）Proof of fund provided by the parent company’s bank in English version and relevant bank information ((notarized and Apostille)；

4）母公司營業執照、公司章程英文版及母公司主營業務內容簡介（需公證雙認證）Business license of the parent company, articles of association of the company in English and brief introduction to the main business of the parent company ((notarized and Apostille)；

5）項目協議及項目詳細介紹（我司可協助）project agreement and detailed introduction (our company can assist)；

6）印度辦公室的地址（如向我司購買注冊地址，則無需提供）India office address

1) 提供以下其中之一即可: provide one of the following:

a：租房證明-租房協議proof of rental - rental agreement；

b：房屋所有證明（董事/親屬）-注冊證明/房產稅收據憑證 proof of ownership (director/relative)/certificate of registration；

2)近期電費單/水費單/天然氣賬單/移動電話費賬單electricity bill/water bill/gas bill/mobile phone bill；

7）房屋產權所有者對任一董事出具的不反對證明（NOC）NOC issued by the owner of the property right to any director;
