Branch Office Registration Service Plan

一、 分公司的簡介 Introduction： 

外國公司在印度設立分公司(“BO”)，需經印度儲備銀行(RBI)批準，并經印度一級銀行 AD

銀行批準后，向印度公司注冊事務局(ROC)登記。因此，在印度建立一個 BO 需要兩個步驟，

即- A Foreign Company / Corporation can establish a Branch Office ("BO") in India by obtaining

permission from the Reserve Bank of India (RBI) through AD category 1 Banker and

subsequently registering it with the office of Registrar of Companies (ROC).

A:通過 AD Bank 獲得 RBI 審批(自動/審批路徑) Getting the RBI Approval (Automatic / Approval

Route) through AD Bank;

B:在公司事務門戶網站注冊報備 Establishment / Registration of BO with the office of ROC on

Ministry of Corporate Affairs Portal;

分公司的含義 Branch Office in relation to a Company means:

a)任何名義上稱為分公司的機構 any establishment described as a branch by the company,

b)與公司總部進行相同或實質上相同活動的任何機構 any establishment carrying on either

the same or substantially the same activity as that carried on by the head office of the

company；

二、 分公司的特點 Features of Branch Office：

1）無注冊資金要求 no registered capital requirements；

2）更容易掌握市場信息，了解境外市場動態 it is easier to master market information and

understand overseas market trends；

三、 合規標準 Eligibility Criteria: 

1. 至少兩名董事，其中一名為常駐董事，需有 PAN 和印度地址

Minimum 2 directors, one of the director is required with PAN and Indian address

2. 無注冊資本要求  No registered capital requirements；

3. 母公司連續最近五年盈利   

The parent company has been profitable for the last five consecutive years ；

4. 母公司最低凈資產 10，0000 美金

The minimum net asset of the parent company is USD 10,0000 (documentary proof is required)；

注：分公司有效期三年，期滿后可申請延期 

Note: the validity period of the branch is three years.

四、 流程 Brief Procedure：

1）確認申請公司已完全符合申請資格 

Confirming the Eligibility Criteria is duly fulfilled by the Applicant Company;

2）確 認 常駐董事或首席代表擁有有效印度 PAN 卡

Confirming that the Chief Representative Officer to be appointed in BO have a valid PAN in India;

3）常駐董事申請董事電子簽名（如沒有）

Confirming that the Chief Representative Officer to be appointed in BO have a valid DSC in India;

4） 申請人須以要求的文件及文件格式準備文件，并向印度政府指定的一類 AD 銀行出申請;

     出申請后與 AD 銀行和印度央行進行聯系跟進取得分公司設立的許可。

5）連同 RBI 分公司設立的和準信或許可以及相關文件，與印度公司注冊事務部門戶網站

進行分公司注冊申請及報事宜備 

Making an application to the office of ROC with prescribed documents along with RBI Approval Letter for Incorporation of BO；

6）取得分公司執照 Getting a Certificate of Establishment from ROC；

7）與 AD 銀行開設公司賬戶等 Opening of Bank Account with AD Bank；

五、 印度分公司注冊所需材料 Required Documents：

1:董事的個人信息、 PAN Card 掃件和印度地址證明 

Personal information of the director, scanning copy of PAN Card and Indian address proof；

2:注冊申請簽字文件（需公證雙認證）

Signed documents for registration。application(notarized and Apostille)；

3:母公司銀行，供的資金證明英文版及銀行相關信息（需公證雙認證）

Proof of fund provided by the parent company’s bank in English version and relevant bank

information (notarized and Apostille)；

4:母公司營業執照、公司章程英文版及母公司主營業務內容簡介（需公證雙認證）

Business license of the parent company, articles of association of the company in English

and brief introduction to the main business of the parent company (notarized and Apostille)；

5:印度辦公室的地址 address of the office in India；

1) 供以下其中之一即可: provide one of the following:

（a）租房證明-租房協議 proof of rental - rental agreement

（b）房屋所有證明（董事/親屬）-注冊證明/房產稅收據憑證 proof of. ownership

(director/relative) - certificate of registration/property tax receipt.

2)近期電費單/水費單/天然氣賬單/移動電話費賬單 electricity bill/water. bill/gas

bill/mobile phone bill；

3)房屋產權所有者對任一董事出具的不反對證明

（NOC）NOC issued by the. owner of the property right to any director；

4）及其他信息清單 and other information check list
